1. Agreement to these Terms

These Terms & Conditions (the “Terms”) form a binding agreement between you and MH Technologies LLC (“BidBuster,” “we,” “us,” or “our”), the operator of the website at bidbuster.us and the related software, applications, and services (together, the “Service”). By creating an account, joining our waitlist, subscribing to, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

If you are using the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not access or use the Service.

2. Definitions

  • “Service”: the BidBuster platform, including tools that help you find, evaluate, prepare, and respond to requests for proposals (RFPs), tenders, and similar procurement opportunities.
  • “Customer Content”: any documents, text, data, files, or other materials that you upload to, generate with, or provide through the Service, including RFP and tender documents and your proposal materials.
  • “AI Output”: content generated by the Service’s automated or artificial-intelligence features, including drafted responses, summaries, compliance matrices, and scoring.
  • “Subscription”: a paid plan that provides access to the Service for a recurring period.

3. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business and professional use, not for consumers or children.

To access certain features you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately at info@mhtechnologies.us if you suspect unauthorized use.

4. The Service

BidBuster provides software tools to assist with government and institutional procurement. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.

5. Subscriptions, Fees, and Billing

Some parts of the Service require a paid Subscription. Current plans and prices are shown at bidbuster.us/pricing. By subscribing, you authorize us and our third-party payment processor (Stripe) to charge your payment method on a recurring basis.

  • Auto-renewal. Subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current rate, unless you cancel before the renewal date.
  • Price changes. We may change prices. We will give you advance notice of any price increase, which will take effect on your next renewal.
  • Taxes. Fees are exclusive of taxes; you are responsible for any applicable sales, use, VAT, or similar taxes.
  • Failed payments. If a charge fails, we may suspend or downgrade your access until payment is resolved.

6. Free Trials and Cancellation

We may offer free trials. Unless stated otherwise, at the end of a free trial your plan will convert to a paid Subscription and your payment method will be charged, unless you cancel beforehand.

You may cancel your Subscription at any time from your account settings or by contacting us. Cancellation stops future renewals; it takes effect at the end of your current billing period, and you retain access until then.

Refunds. Except where required by applicable law, all fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or plan downgrades. This does not affect any statutory rights that cannot be waived under applicable law.

7. Customer Content and Your Responsibilities

You own your content. As between you and BidBuster, you retain all rights to your Customer Content. We do not claim ownership of it.

License to operate the Service. You grant BidBuster a limited, worldwide, non-exclusive license to host, store, copy, transmit, process, and display Customer Content solely to provide, secure, and support the Service for you. This license ends when you delete the content or close your account, except for residual copies retained as described in the Privacy Policy or required by law.

Your responsibilities. You represent that you have all rights necessary to upload and use your Customer Content, and that your use of the Service and your submissions to any procurement authority comply with all applicable laws, regulations, and procurement rules. You are solely responsible for the accuracy, legality, and content of anything you submit to a third party, including bids and proposals.

8. AI-Generated Output: Important Disclaimer

The Service uses automated and artificial-intelligence systems to generate AI Output. You acknowledge and agree that:

  • AI Output is provided to assist you and may contain errors, omissions, or inaccuracies, and may not reflect the latest requirements of any solicitation.
  • You must independently review, verify, and edit all AI Output before relying on it or submitting it to any procurement authority. BidBuster is a drafting and productivity tool, not a substitute for your own professional judgment.
  • BidBuster does not guarantee that use of the Service will result in a compliant bid, a winning bid, or any particular outcome, and makes no representation regarding award of any contract.
  • The Service does not provide legal, accounting, procurement, or professional advice, and no attorney-client or other professional relationship is created by using it.

You are solely responsible for every bid, proposal, and document you submit.

9. Acceptable Use

You agree not to, and not to permit anyone to:

  • use the Service for any unlawful, fraudulent, or unauthorized purpose, or in violation of any procurement or export-control law;
  • upload content you do not have the right to use, or that infringes any third party’s intellectual-property, privacy, or confidentiality rights;
  • upload malware or attempt to gain unauthorized access to the Service or its systems;
  • reverse engineer, decompile, scrape, or copy the Service, or use it to build a competing product;
  • resell, sublicense, or share access to the Service without our written permission; or
  • circumvent usage limits, security features, or access controls.

10. Intellectual Property

The Service, including its software, design, text, graphics, logos, and the BidBuster name and marks, is owned by BidBuster or its licensors and is protected by intellectual-property laws. Except for the limited license granted to you, no rights are transferred to you.

Feedback. If you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use them without obligation to you.

11. Confidentiality

We understand that Customer Content may include sensitive and confidential business information. We will treat your Customer Content as confidential and will not disclose it except as needed to provide the Service (including to the subprocessors described in our Privacy Policy), with your permission, or as required by law. Details of how we handle and protect your data are in the Privacy Policy.

12. Third-Party Services and Data Sources

The Service may display information from, link to, or integrate with third-party sources and services (including public procurement portals and payment providers). We do not control and are not responsible for third-party content, availability, or accuracy, and your use of third-party services may be governed by their own terms.

13. Disclaimer of Warranties

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, BidBuster disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding accuracy, reliability, availability, or that the Service will be uninterrupted or error-free, or will lead to any particular result.

14. Limitation of Liability

To the fullest extent permitted by law, BidBuster and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, or for lost or unsuccessful bids, arising out of or relating to the Service. Our total aggregate liability for all claims relating to the Service will not exceed the greater of the amounts you paid us in the twelve (12) months before the claim or US$100.

15. Indemnification

You agree to indemnify and hold harmless BidBuster from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Content, your use of the Service, your submissions to third parties, or your violation of these Terms or applicable law.

16. Term, Suspension, and Termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your license to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms with a new effective date and, where appropriate, by email or in-product notice. Your continued use of the Service after the changes take effect constitutes acceptance.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules.

Informal resolution first. Before starting an arbitration or court proceeding, you agree to try to resolve the dispute informally by contacting us at info@mhtechnologies.us. If we cannot resolve it within 30 days, either party may proceed as set out below.

Binding arbitration. Except for the excluded claims below, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator. The arbitration will take place in Wyoming or by videoconference where permitted, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator decides all issues of arbitrability.

Class-action waiver. You and BidBuster agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims.

Exceptions. Either party may (a) bring an individual claim in small-claims court, or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information. If the class-action waiver is held unenforceable as to a particular claim, that claim (and only that claim) will proceed in the state or federal courts located in Wyoming.

Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing info@mhtechnologies.us with your name and a statement that you decline arbitration.

19. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and BidBuster regarding the Service.
  • Severability. If any provision is held unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce any provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
